QlutchGrid – User Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the QlutchGrid platform ("Platform") operated by RideLink Innovations Private Limited ("QlutchGrid", "we", "our", or "us").

By accessing or using our website, mobile application, or any related services (collectively, the "Platform"), you ("User", "you", or "your") agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you disagree with any part of these Terms, you must not use the Platform.

1. About QlutchGrid

QlutchGrid is a technology platform and digital marketplace that connects Users with independent, third-party automotive care service providers ("Service Providers"). QlutchGrid acts only as a technology intermediary and facilitator and does not itself perform or guarantee the services offered by Service Providers.

2. The Platform and Service Providers

2.1. Intermediary Status: You understand and agree that QlutchGrid is solely a technology intermediary as defined under the Information Technology Act, 2000. The Platform facilitates the booking of services; QlutchGrid does not provide, employ, or endorse any Service Provider, nor does it provide automotive care services.

2.2. Independent Contractors: Service Providers are independent contractors and are not employees, agents, or partners of QlutchGrid. They are solely responsible for the services they provide.

2.3. Service Contract: The contract for the provision of automotive care services is solely between you and the Service Provider. QlutchGrid is not a party to this contract and has no obligations or liabilities under it.

2.4. Disclaimer of Vetting: QlutchGrid may perform a basic verification of Service Providers (as detailed in our Partner Agreement). However, QlutchGrid does not guarantee, warrant, or endorse the accuracy of this verification, or the quality, safety, credentials, or legality of any Service Provider or their services. You agree that you are responsible for exercising your own judgment and discretion in selecting and interacting with Service Providers.

3. User Account & Responsibilities

3.1. Account Registration: You must register for an account using accurate, current, and complete personal information.

3.2. Account Confidentiality: You are solely responsible for maintaining the confidentiality of your account, password, and login credentials and for all activities that occur under your account.

3.3. Lawful Use: You agree to use the Platform only for lawful purposes and in compliance with these Terms. You must not:

• Misuse the Platform, engage in fraudulent activity, or attempt to disrupt our services.

• Attempt to circumvent the Platform to book services directly with a Service Provider you first discovered through the Platform.

• Impersonate any person or entity or provide false information.

4. Bookings, Payments, and Refunds

4.1. Bookings: You can book services offered by listed Service Providers through the Platform. All bookings are subject to acceptance by the Service Provider.

4.2. Pricing and Policies: Pricing, service descriptions, availability, and refund or cancellation policies are determined and set by each Service Provider, not by QlutchGrid. QlutchGrid simply displays this information on the Platform. QlutchGrid reserves the right to offer additional discounts/offers to the USERS.

4.3. Payment Collection Agent: You appoint QlutchGrid as the limited payment collection agent for the Service Provider. Payment is made through QlutchGrid's integrated gateways. Your payment to QlutchGrid for services shall be considered the same as payment made directly by you to the Service Provider. QlutchGrid collects these payments on behalf of the Service Providers and settles the amounts to them after deducting applicable platform fees and taxes.

4.4. Cancellations & Refunds: Refunds and cancellations are governed by the specific policy set by the Service Provider, which is displayed at the time of booking. QlutchGrid is not responsible for refund disputes and will only process refunds upon confirmation and approval from the respective Service Provider.

5. User-Generated Content

5.1. License Grant: The Platform may permit you to post content, such as reviews, ratings, comments, or photos ("User Content"). By submitting User Content, you grant QlutchGrid a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

5.2. Responsibility for Content: You are solely responsible for your User Content. You represent and warrant that you own all rights to your User Content or have the necessary permissions to grant us the license described above, and that your User Content does not violate any law or infringe upon the rights of any third party.

6. Communication & Notifications

By creating an account, you consent to receive communications from QlutchGrid and its Service Providers, including notifications, alerts, and updates via In-App, email, SMS, or WhatsApp regarding:

• Booking confirmations, reminders, and status updates.

• Customer support communication.

• Promotional messages, which you may opt-out of at any time.

7. Data Collection & Privacy

Your personal information is collected, stored, and processed as per our Privacy Policy, which is available on our website and app. QlutchGrid complies with the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.

8. Intellectual Property

All content, branding, software, and materials on the Platform (excluding User Content) are the exclusive intellectual property of RideLink Innovations Private Limited. Users are prohibited from copying, redistributing, or commercially exploiting any part of the Platform without our express written permission.

9. Disclaimers and Limitation of Liability

9.1. Service Disclaimer: The Platform is provided on an "as is" and "as available" basis. QlutchGrid makes no representation or warranty regarding the reliability, timeliness, quality, suitability, or availability of the services provided by Service Providers. QlutchGrid is not liable for any act, omission, or negligence by a Service Provider, nor for any service delays, damages, poor quality, or dissatisfaction.

9.2. Exclusion of Liability: To the maximum extent permitted by law, QlutchGrid, its officers, directors, and employees shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential losses or damages (including lost profits, lost data, or personal injury) arising from your use of the Platform or the services procured via the Platform.

9.3. Monetary Cap on Liability: To the extent not prohibited by law, in no event shall QlutchGrid's total aggregate liability to you for any and all claims, damages, or losses arising from or related to these Terms or your use of the Platform exceed the greater of: (a) the total booking value of the single transaction that is the subject of the dispute; or (b) a fixed sum of Five Thousand Indian Rupees (₹5,000).

This limitation shall apply even if QlutchGrid has been advised of the possibility of such damages and regardless of the theory of liability (contract, tort, or otherwise).

10. Indemnification

You agree to indemnify, defend, and hold harmless QlutchGrid, its officers, directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your breach or violation of any of these Terms; (c) your User Content, including any claims of infringement; (d) your interactions, disputes, or transactions with any Service Provider; or (e) your violation of any law or the rights of any third party.

11. Modification of Terms

QlutchGrid reserves the right to modify or update these Terms at any time. Updated Terms will be published on the Platform and shall take effect immediately upon posting. Your continued use of the Platform after such posting constitutes your binding acceptance of the revised Terms.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes, claims, or controversies arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Chennai, Tamil Nadu.
